BACKGROUND AND DISCUSSION
The State of California acting by and through the Department of Transportation, (Caltrans) and the City of Sunnyvale currently have four active separate freeway agreements (Attachments 1 through 4) and three separate state highway maintenance agreements (Attachments 5 through 7). These agreements were prepared for various segments of US 101, SR 237, SR 82, SR 85, and I-280 within the City limits and were executed in different time periods between 1962 and 2008. The City's Mathilda Avenue/US 101/SR 237 Interchange Improvements Project is scheduled to start construction in December 2018; as part of the project, both Mathilda Avenue/US 101 and Mathilda Avenue/SR 237 interchanges will be reconfigured, requiring revision to the existing freeway and maintenance agreements.

The updated agreements will consolidate the existing four freeway agreements into two separate agreements, one each for US 101 and SR 237 and supersede all previous agreements. The existing state highway maintenance agreements will be partially superseded to incorporate the new construction by this project. The updated agreements will address right-of-way control and maintenance responsibility over the reconfigured and relocated street segments including Moffett Park Drive. The Mathilda Avenue/US 101/SR 237 Interchange Improvements Project will require Caltrans to issue permits for construction activity within State right-of-way. Caltrans will not issue the required permits unless the existing freeway and maintenance agreements are updated. The updated freeway agreements (Attachment 8 and 9), and updated maintenance agreement (Attachment 10) are attached.
